As a DED-licensed investment holding and enterprise management company, we maintain governance frameworks aligned with the regulatory requirements of each jurisdiction in which our subsidiary entities operate. Our governance is designed to be proportionate to our scale while meeting institutional standards — because the counterparties we engage with expect nothing less.
Principles
Regulatory Compliance First
Every enterprise, every mandate, and every counterparty engagement operates within the boundaries of our DED commercial license. We do not stretch our license scope. We do not engage in activities that require authorisations we do not hold. When we encounter opportunities outside our license scope, we decline them — regardless of their commercial attractiveness.
Bilateral NDA Protocol
No substantive engagement occurs without executed non-disclosure agreements. This protects our counterparties, our group entities, and the integrity of the mandates we develop. NDAs are not bureaucratic obstacles — they are the foundation of trust-based institutional engagement.
Jurisdictional Verification
Before engaging with any counterparty, we verify that the engagement is lawful in the relevant jurisdiction. Before entering any new market, we complete regulatory due diligence and obtain all necessary clearances. We do not operate in regulatory grey areas.
Separation of Activities
Regulated and unregulated activities are clearly separated across the group structure. Each subsidiary entity operates within its own defined mandate. There is no commingling of activities across entities, no shared compliance responsibilities, and no ambiguity about which entity is responsible for which activities.
Operational Transparency
We maintain structured reporting and governance protocols across all subsidiary entities. Decision-making authority is clearly defined, and accountability is assigned at every level of the organisation. Our counterparties can trace any decision to the individual who authorised it.

Policy Center
Anti-Money Laundering (AML) Policy
All group entities comply with UAE Federal Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism. KYC/CDD procedures are mandatory for all counterparty engagements.
Data Protection & Privacy Policy
We comply with applicable data protection regulations including UAE Federal Decree-Law No. 45 of 2021. Personal data is processed only for legitimate business purposes with appropriate safeguards.
Conflict of Interest Policy
All potential conflicts of interest are declared, documented, and managed through established protocols. No team member may engage in activities that conflict with the group's interests without prior written approval.
Whistleblower Protection Policy
We maintain confidential channels for reporting governance concerns. All reports are investigated independently, and reporters are protected from retaliation.
Related Party Transactions Policy
All transactions between group entities or with related parties are conducted at arm's length and documented in accordance with regulatory requirements.
